YAY! Portal – Terms and Conditions

- Acceptance of Terms
By accessing or using the YAY! website, mobile application, or any related services (“Platform”), you agree to comply with and be bound by these Terms and Conditions (“Terms”).
If you do not agree, please discontinue use of the Platform immediately.
- Description of Service
YAY! is a digital platform operated by PT XQUARE EDU NUSANTARA that connects:
- Businesses (“Listers”) who offer digital vouchers or promotions,
- Customers (“Users”) who purchase and redeem those vouchers, and
- Key Opinion Leaders (KOL), Influencers, Creators, or Affiliates who promote those vouchers using referral links or codes.
YAY! facilitates listing, promotion, and secure payment processing but does not act as the direct seller of vouchers.
The issuing business (Lister) remains solely responsible for all voucher terms, accuracy, and redemption.
- Eligibility
You must be at least 17 years old, or have parental or guardian consent, to use YAY!.
By registering, you represent that all information you provide is accurate, current, and complete.
- Account Registration
To access certain features, you must create a YAY! account.
You are responsible for safeguarding your credentials and all activities under your account.
YAY! reserves the right to suspend or terminate accounts for fraudulent activity or violation of these Terms.
- Voucher Listings and Purchases
For Businesses (Listers):
- Listers are fully responsible for the legality, accuracy, and redemption of vouchers offered through YAY!.
- Each voucher must clearly state its price, validity period, redemption rules, and commission rate offered to affiliates (if applicable).
- Listers may determine different commission rates per voucher or campaign at their discretion.
- YAY! reserves the right to remove or suspend listings that are misleading, unlawful, or harmful to users.
- Businesses must honor valid vouchers and resolve any related customer complaints in good faith.
For Customers (Buyers):
- Please read all voucher terms carefully before purchasing.
- All sales are final and non-refundable, except where the issuing business agrees otherwise or where required by law.
- YAY! acts as a facilitator only and is not liable for the merchant’s service or product quality.
- In case of disputes, YAY! may mediate between customers and merchants but final decisions rest with the merchant.
For Affiliates / KOLs:
- Affiliates promote vouchers via their personal affiliate links or promo codes provided by YAY!.
- Commission rates vary by voucher and are determined solely by the issuing business (Lister).
- Commissions are calculated on verified and completed transactions, credited automatically to affiliate wallets after customer payment and merchant confirmation.
- Commission rate, eligibility, and timing may differ per campaign or voucher as displayed on the YAY! platform.
- Any fraudulent or self-purchase actions to inflate commission earnings are strictly prohibited and subject to account termination and forfeiture of funds.
- Affiliate and KOL Guidelines
Affiliates and Key Opinion Leaders (“KOLs”) are essential partners in promoting YAY! listings. To maintain credibility and compliance, affiliates must adhere to the following standards:
- a) Compliance and Conduct
- Affiliates must comply with all applicable Indonesian laws, including advertising, consumer protection, and Personal Data Protection (UU PDP).
- Promotions must be honest and not misrepresent product quality, pricing, or discounts.
- Content must not include hate speech, discrimination, obscene, or harmful material.
- Affiliates may not falsely claim to represent YAY! or any business officially.
- b) Content Usage
- Affiliates are encouraged to produce original, authentic content when promoting vouchers.
- Use of logos, media, or promotional assets must follow YAY!’s or the merchant’s brand guidelines.
- Unauthorized use of copyrighted materials is prohibited.
- c) Payment and Taxes
- Commissions are transparently displayed per voucher on the YAY! dashboard.
- Payouts are made automatically to affiliate wallets or linked bank accounts, subject to minimum withdrawal thresholds.
- Affiliates are responsible for their own tax compliance (PPh or other) in accordance with Indonesian regulations.
- d) Termination
- YAY! may suspend or terminate any affiliate account engaged in fraudulent marketing, fake transactions, or brand misrepresentation.
- Terminated affiliates forfeit pending commissions in case of verified misconduct.
- Payments and Fees
- All transactions are processed through secure, licensed payment gateways.
- YAY! may deduct platform fees or service charges before transferring payouts to merchants or affiliates.
- Taxes (PPN/PPh) remain the responsibility of each party per Indonesian law.
- Intellectual Property
All platform content, branding, code, and media are owned or licensed by PT XQUARE EDU NUSANTARA.
Users may not copy, modify, or distribute YAY! materials without prior written consent.
- User Conduct
Users agree not to:
- Post false, unlawful, or misleading information;
- Use YAY! for fraudulent purposes;
- Violate intellectual property or privacy rights;
- Interfere with or disrupt platform functionality.
Violations may result in account suspension, legal action, and permanent removal from the platform.
- Privacy and Data Protection
YAY! collects and processes personal data in accordance with the Indonesian Personal Data Protection Law (UU No. 27 Tahun 2022).

- Limitation of Liability
YAY! provides its platform “as is,” without warranty of uninterrupted access or specific results.
We are not liable for:
- Merchant or affiliate conduct,
- Unredeemed or expired vouchers,
- Third-party system errors or downtime, or
- Any indirect or consequential damages.
- Dispute Resolution
YAY! will attempt to mediate disputes in good faith between customers, merchants, and affiliates.
If unresolved, disputes will be governed by Indonesian law and settled exclusively at the Jakarta District Court (Pengadilan Negeri Jakarta).
- Termination
YAY! may suspend or terminate any user, business, or affiliate account found in violation of these Terms or applicable law.

- Amendments
YAY! reserves the right to update these Terms as needed.
Changes will take effect upon publication, and continued use constitutes acceptance of the revised Terms.
